BIDA Registration

All Bangladesh industrial enterprise is required to be registered with Bangladesh Investment Development Authority (BIDA). Without it, investor/ entrepreneur will not be able to obtain many essential licenses and permits such as Import Registration Certificate, Export Registration Certificate, Bond License, etc. BIDA registration is also mandatory for obtaining industrial plot in the special economic zone.

Process for registration with BIDA
The investor is required to apply online from BIDA One Stop Service (OSS) Portal. Also, attached the relevant documents. The list of required documents is provided below.

For local investment project:
1. Attachment of Company's Comments as per BIDA Requirement
2. Others necessary documents (please attach if any)
3. According to the industrial policy, 2016 NOC from concern Ministry/Directorate/ Department for the controlled sector to be submitted
4. Project profile if project cost is 100 million above
5. List of Directors with Nationality & Address
6. Land Purchase/Rental deed agreement of Project.
7. Up to date TIN Certificate
8. Trade License
9. Memorandum and Article of Association
10. Certificate of Incorporation

For foreign investment/ joint venture project:
1. Attachment of Company's Comments as per BIDA Requirement
2. According to the industrial policy, 2016 NOC from concern Ministry/Directorate/ Department for the controlled sector to be submitted
3. Encashment certificate
4. List of Machineries Local & Imported to be submitted in official pad of the company
5. Project profile if project cost is 100 million above
6. List of Directors with Nationality & Address
7. Land Purchase/Rental deed agreement of Project.
8. Up to date TIN Certificate
9. Trade Licence
10. Memorandum & article of Association
11. Certificate of Incorporation
12. Others necessary documents (please attach if any)

" Applicants need to submit their application online through the OSS portal. Concern desk officer (Assistant Director) crosscheck the submitted informations. If all informations are valid, assistant director verifies the application & forward to the Director. After checking by Director then the application is forwarded to the meeting chairperson. Then meeting chairperson process the application (Process option: Approve, Conditional Approve, Deferred, Reject) 1. If the application is approved then the system automatically notifies the applicant about payment, When the payment is confirmed, the Assistant Director issues the approval letter.Applicant can download the issuing letter from the system. 2. If the application is conditional approved, the system automatically notifies the applicant with the conditional remarks for fulfil the condition. If the condition is not fulfil, the Assistant Director again send the application to the applicant. When the condition is fulfilled, the Assistant Director sends the application for payment to the applicant. when payment is submitted then the application is returned to the Assistant Director's desk for the issuance of the approval letter. Then the Assistant Director issue the letter and system automatically generates an issue office permission letter and send it to the applicants. 3. If the application is deferred the system automatically notifies the applicant, that your application is deferrted and application current desk is assistent director. 4. If the application is rejected the system automatically notifies to the applicant. Documents should be attested by the Principal Promoter/Managing Director/Head of Organization. Tk 25,000.00 for new Office Permission fees should be submitted using online payment gateway (Credit Card: Visa/Master Card), Mobile Banking (Bkash), Counter payment for Sonali Bank after approval of the application."

Outward Remittance Approval

If the application is deferred the system automatically notifies the applicant that your application is deferred and application current desk is assistant director. 4. Visa Recommendation

Tk1000.00 for work permit Amendment fees should be submitted using online payment gateway (Credit Card (Visa/Master Card), Mobile Banking (Bkash), Counter payment for Sonali Bank before submitting the application."

Work Permit

Work permit is mandatory for every foreign national seeking employment in Bangladesh. There are three government authorities issue work permit in Bangladesh.
1. For private sector industrial enterprise, branch office and liaison office, outside of Export Processing Zone (EPZ) – Board of Investment (BIDA).
2. For employment of foreign national in the EPZ – Bangladesh Export Processing Zones Authority (BEPZA).
3. For employment of foreign national in any NGO – NGO Affairs Bureau.

Work permit issued by BIDA :
Private sector industrial enterprises, branch office, liaison/representative office desiring to employ foreign nationals are required to apply to BIDA in a prescribed from. While issuing work permit, BIDA usually follows the following guidelines:
1.Only nationals of countries recognized by Bangladesh are considered for employment.
2. Employment of expatriate personnel will be considered only in industrial/commercial establishments which are sanctioned/registered by the appropriate authority.
3. Employment of foreign nationals is normally considered for the job for which local experts/technicians are not available.
4. Persons below 18 years of age are not eligible for employment.
5. A decision of the board of directors of the concerned company for new employment/employment extension is to be furnished in each case.
6. The number of foreign employees should not exceed 5% in the industrial sector and 20% in commercial sector of the total employees, including top management personnel.
7. Initially, employment of any foreign national is considered for a term of two years, which may be extended on the basis of merit of the case.
8. Ministry of Home Affairs will issue necessary security clearance certificate.

The following papers/documents are required for new work permit:
1. Application in prescribed form along with passport size photographs of the foreign national(s) attested by the Managing Director/Managing Partner/Proprietor/appropriate authority.
2. Attested copy of the permission letter for Branch/Liaison Office/Company.
3. Commercial Enterprise from the appropriate authority, if not submitted earlier.
4. Board resolution regarding employment of foreign national(s) including salary & other benefit.
5. Memorandum, Article of Association and Certificate of Incorporation of the Company duly signed by shareholders, if not submitted earlier.
6. Attested photocopy of passport with arrival stamp ‘E’ type visa for employee and ‘PI’ type visa for investors.
7. Attested copy of service contract/agreement and appointment letter, in case of employee.
8. Attested copies of all academic, professional and experience certificate for employee.
9. Paper clipping showing advertisement made for recruitment of local personnel prior to appointment of the foreign national(s).
10. Statement of manpower showing list of local and expatriate personnel employed with designation, salary details, nationality and date of first appointment.
11.  Encashment certificate of inward remittance in favor of Liaison/Branch office for the last 2 years.
12.  Encashment certificate of inward remittance of minimum US$ 50,000 as initial establishment cost for branch/liaison offices and locally incorporated/join-venture and 100% foreign ownership companies.
13. Up-to-date income tax certificate for branch office of the locally incorporated companies in Bangladesh.
